Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of TRAID, a field service management platform operated by Bar13 Ventures LLC (“we,” “us,” or “our”). By creating an account or using TRAID, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. Description of Service

TRAID provides software tools for trade and service businesses including job management, quoting, invoicing, customer records, payment processing, scheduling, team coordination, and optional integrations with third-party accounting software. Features may vary by subscription tier.

3. Accounts & Eligibility

• You must be at least 18 years old and legally authorized to operate your business.
• You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
• Each account represents a single business entity. You may add team members under your account.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.

4. Subscription, Billing & Fees

• Free Trial: New accounts receive a 60-day free trial of the Pro plan. No credit card is required to start. At the end of the trial, your account converts to the Starter plan unless you subscribe.
• Starter Plan: Free to use. A 1% platform fee is collected on each customer payment processed through TRAID. This fee is deducted from your payout before transfer to your connected bank account. Cash, check, or off-platform payments require a card on file; the 1% fee plus applicable processing costs are charged to that card when you mark an invoice paid.
• Pro Plan: Monthly or annual subscription. No per-transaction platform fee. Subscription fees are billed in advance and are non-refundable except as required by law.
• Cancellation Fees: On the Starter plan, cancelling a job with an accepted customer quote incurs a 1% cancellation fee on the accepted quote total, charged to your card on file.
• Stripe Connect: Customer-facing payments are processed through your Stripe Connect account. You are responsible for compliance with Stripe’s Terms of Service and applicable payment regulations.

5. Acceptable Use

You agree not to:

• Use TRAID for any unlawful purpose or in violation of applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the platform or another user’s data.
• Reverse-engineer, decompile, or create derivative works from the platform.
• Use the platform to transmit malware, spam, or fraudulent content.
• Resell or sublicense access to TRAID without prior written permission.

6. Your Data

You retain full ownership of the business data you enter into TRAID (customers, jobs, quotes, invoices, photos). By using the platform you grant us a limited license to store, process, and transmit that data solely to provide the service. We do not sell your data. See our Privacy Policy for full details.

7. Photo & File Storage

Each account receives cloud storage for job photos and attachments up to the limit of your plan. We do not automatically delete your files. If your account exceeds its storage limit, new uploads will be blocked until you archive files or purchase additional storage.

8. Intellectual Property

TRAID and all related software, designs, trademarks, and content are owned by Bar13 Ventures LLC. Nothing in these Terms transfers intellectual property rights to you. You may not use our name, logo, or branding without prior written consent.

9. Disclaimers & Limitation of Liability

TRAID is provided “as is” and “as available.” We make no warranties, express or implied, regarding reliability, availability, or fitness for a particular purpose. To the maximum extent permitted by law, Bar13 Ventures LLC shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data loss. Our total liability for any claim shall not exceed the fees you paid us in the three months preceding the claim.

10. Termination

You may cancel your account at any time by contacting support@traid.app. We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days’ notice. Upon termination you may request an export of your data within 30 days; after that period data may be permanently deleted.

11. Third-Party Accounting Integrations

TRAID offers optional integrations with third-party accounting platforms, including QuickBooks Online and Xero. By connecting an accounting integration, you authorize TRAID to transmit your business data — including customer records, invoice details, and payment amounts — to the connected accounting provider on your behalf.

• You are responsible for ensuring your use of the connected accounting platform complies with that platform’s terms of service.
• You may disconnect an integration at any time from your Settings page. Disconnecting stops future data transfers but does not delete data already transmitted to the third-party provider.
• TRAID is not responsible for errors, data loss, or service interruptions caused by third-party accounting platforms.
• Data transmitted through integrations is governed by both this agreement and the privacy policy of the receiving platform (Intuit for QuickBooks; Xero Limited for Xero).

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email to the account owner at least 14 days before taking effect. Continued use of TRAID after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in Wyoming. Bar13 Ventures LLCis a Wyoming limited liability company. Development and operations are based in California.
